Position: LEGAL MANAGER

AGROMAP HOLDING is a company headquartered in Abidjan, Côte d’Ivoire. In Côte d’Ivoire, it owns the subsidiaries AGROMAP NBS, AGROMAP CONSULTING, AGROMAP TECHNOLOGY, and AGROMAP RENEWABLE ENERGY. In the sub-region, it owns AGROMAP GHANA, AGROMAP GUINEA, AGROMAP CAMEROON, and AGROMAP CONGO (Brazzaville). These subsidiaries design and implement sustainability projects through Nature-Based Solutions (NBS), provide agricultural traceability solutions, and conduct environmental studies. These projects have a positive socio-economic impact on smallholder farmers and their communities by helping to improve their resilience to the effects of climate change. As part of its workforce expansion, AGROMAP HOLDING is recruiting a Legal Manager.

Responsibilities

Reporting to the CEO of the HOLDING COMPANY, the General Counsel will be responsible for ensuring the legal soundness of all the Group’s operations, playing a strategic role in providing legal advice, risk prevention, and dispute resolution. More specifically, his or her primary responsibilities will include:

Strategic legal advice

  • Advise senior management and subsidiary directors on all strategic legal matters;
  • Analyze the legal risks associated with strategic decisions, growth initiatives, and new business ventures;
  • Actively contribute to executive committee meetings regarding the legal aspects of major projects;
  • Notify management of any changes in laws or regulations;

Contract Management and Security

  • Draft, review, negotiate, and approve all of the Group’s contracts (including commercial contracts, agreements with national and international lenders, consulting agreements, confidentiality agreements, and land contracts);
  • Set up and manage a centralized contract tracking system;
  • Ensure that the clauses are consistent and compliant with OHADA law and national legislation;

Management of Public-Private Partnerships (PPPs)

  • Provide legal guidance on the structuring, negotiation, and monitoring of the Group’s PPPs;
  • Analyze PPP regulatory frameworks in the countries where we operate;
  • Draft and finalize concession agreements, public service delegation agreements, and co-development agreements;
  • Identify and manage risks specific to PPPs (regulatory, public counterparty, termination);
  • Represent the Group in negotiations with government agencies and departments

Legal Compliance Monitoring

  • Ensure ongoing compliance with the applicable OHADA Uniform Acts;
  • Assist management with restructuring, mergers and acquisitions, or the establishment of new entities;
  • Oversee the maintenance of companies’ legal records (minutes of general meetings, RCCM filings, amendment documents, etc.);
  • Advise on corporate governance and compliance issues;
  • Conduct regular legal audits of the Group’s operations, contracts, and practices;
  • Identify, assess, and map legal risks by entity and by country;
  • Develop and lead internal legal training sessions for operational teams.

HR Support

  • Provide support to the HR Department on all legal matters related to personnel management;
  • Draft and approve employment contracts, consulting agreements, and memorandums of understanding;
  • Advise on disciplinary proceedings, terminations, and labor disputes;
  • Ensure that HR practices comply with the Ivorian Labor Code and the laws of the countries where the company operates.

Litigation and Pre-litigation Management

  • Manage all of the Group’s disputes and litigation (commercial, labor, real estate, tax, etc.);
  • Represent the Group before the competent courts or coordinate with retained counsel;
  • Develop and implement strategies for the amicable resolution of disputes;
  • Monitor legal and arbitration proceedings.

Profile required

  • Master’s degree in Business Law / Private Law or any other related field;
  • At least 8 years of successful experience in business law, including at least 3 years at a business law firm or in a corporate legal department, 3 years of experience in OHADA law in French-speaking Africa, and significant experience in public-private partnerships (PPPs) or institutional partnerships;
  • Proven, in-depth expertise in business law, contract and obligations law, and public-private partnership (PPP) and concession law;
  • Strong skills in legal project management (planning, budget management, monitoring, and evaluation);
  • Knowledge of OHADA guarantee and security mechanisms;
  • Proficiency in contract drafting techniques;
  • Ability to analyze and negotiate complex multi-party contracts.
  • Proficiency in computer software (Word, Excel, PowerPoint);
